How do you protect business secrets when licensing data?

Separate useful business workflows from pricing secrets, client strategy and other information your company should keep private.

A record can hide every person's name and still reveal something your competitors would value. Privacy review and commercial confidentiality review answer different questions. You need both before agreeing on a dataset.

What is the difference in practice?

A fictional support ticket might explain how a team resolved a delivery issue. That workflow could be useful without identifying the customer. But a separate note revealing an unreleased product, a client's negotiation position or your private pricing formula raises another concern. Removing names does not remove the commercial sensitivity.

Make a clear keep-out list

List the systems, folders, customers, projects and fields to exclude. Consult the people responsible for sales, product, legal and security. Ask what they would never show to an outside buyer. Replace the general instruction to remove confidential information with a specific exclusions list.

Review who can receive and use the records

Ask which recipients are permitted, what they may do and whether they can pass records onwards. If competitor access or a particular use would be unacceptable, raise it before agreeing terms. Do not assume every proposed restriction is available or enforceable in every deal.

Why does confidentiality need active protection?

According to WIPO, trade-secret protection relies on secrecy, commercial value derived from that secrecy and reasonable efforts to maintain it. A confidentiality clause is one part of the discussion. It is not a replacement for controlling what you reveal. Have your adviser review the information and proposed safeguards in your situation.

When is not licensing the better answer?

If a useful dataset cannot be separated from information you need to protect, it may not be suitable. Compare the proposed commercial return with the exposure and continuing obligations. You can narrow the scope or decline. A payment does not make an unacceptable use acceptable.
